1. Agreement and Scope of Services
These Terms of Service ("Terms") govern your use of the website located at reasonprismhub.click and the technical strategy consulting services provided by Reasonprismhub Technical Advisory Ltd ("Reasonprismhub," "we," "us," or "our").
Reasonprismhub specializes in programming consulting, software architecture evaluations, codebase modernization planning, and structured technical strategy workshops for corporate engineering teams. By accessing our website or executing a Statement of Work (SOW) with us, you agree to be legally bound by these Terms.
2. Consulting Engagements and Statements of Work
Specific workshop dates, scope boundaries, deliverables, and fees are defined in individual written Statements of Work (SOW) or service agreements executed between the client and Reasonprismhub. In the event of any conflict between these general Terms and an executed SOW, the specific terms of the SOW shall prevail.
3. Intellectual Property and Work Product
Unless otherwise specified in a bilateral consulting agreement:
- Client Intellectual Property: The client retains sole and exclusive ownership of all proprietary source code, internal schemas, system topology diagrams, and business logic disclosed to Reasonprismhub during consulting.
- Custom Deliverables: Deliverables created specifically for the client—including custom Architectural Decision Records (ADRs), technical debt matrices, and tailored modernization roadmaps—become the client's property upon full payment of agreed fees.
- Advisory Methodologies: Reasonprismhub retains ownership of its proprietary facilitation frameworks, workshop templates, scoring rubrics, and general consulting methodologies.
4. Confidentiality and Data Protection
We treat all client codebases, repository contents, system performance telemetry, and technical discussions as strictly confidential. Prior to accessing client repositories or proprietary architecture diagrams, we routinely execute bilateral Non-Disclosure Agreements (NDAs).
5. Professional Standard of Care & Limitation of Liability
Reasonprismhub delivers advisory services with professional skill, diligence, and industry best practices. Software architectural decisions inherently involve business trade-offs and operational variables beyond our control.
To the maximum extent permitted by applicable law, Reasonprismhub shall not be liable for any indirect, incidental, consequential, or punitive damages resulting from the implementation of architectural recommendations. Our total aggregate liability for any claim arising out of a specific consulting engagement shall be limited to the total fees paid by the client for that specific engagement during the twelve (12) months preceding the claim.
6. Informational Pricing
All fee estimates, starting prices, and package rates displayed on reasonprismhub.click are informational. Formal binding commercial commitments are established exclusively through written proposals and signed contracts.
7. Governing Law and Dispute Jurisdiction
These Terms and any dispute arising from or related to our services shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively before the courts of New Taipei City, Taiwan.
